The directors job in the memorandum and articles of association was complicated and so Becky and I have created this easy read version to help everyone of our employees and directors to understand the role.
 
 
What a director can do.

I help run the company.
I can ask other people to help run the company.
I can work alone as a director or work with other directors.
I can ask another director in the company to speak or act on my behalf.
I can vote.
I can call a meeting, but I must make sure I give everyone enough notice to attend.
If one of my friends or family will make money from a company decision, I may not vote.
I must not throw away records of meetings as they must be kept for 10 years.
The smallest amount of directors that can make a decision is 3.
I can vote in a new chairman or vote him or her out again.
I can decide on how decisions are made as long as I tell the other directors.
All directors must be voted in properly by other directors, before they can make decisions.
The minimum amount of directors in a company is 2.
I am a member of the company as well as a director .
I can be voted out of the company by the other directors.
I can be paid.
I can claim expenses.
Directors can let new members into the company.
I can’t give my directorship to another person.
Directors call and plan meetings.
4 people or more must be at a general meeting.
Minutes of meetings must be kept.
I must give people info about meetings.
